These are the standard terms and conditions that apply to work and projects undertaken by Redspot Ltd for our valued clients.
1. ESTIMATES
Redspot will provide you with a cost and timeframe estimate at the beginning of the project. If this estimate is accepted by you, we will endeavour to complete the project within the estimated amount of time.
We base our estimate on one round of revisions. If further revisions and changes are needed we charge the hourly rate set out in the estimate we gave you for that time.
If you change your mind, change the overall design, add extra pages to a website, or even add new functionality, that won’t be a problem. You will be charged the hourly rate set out in the estimate we gave you.
Redspot Ltd will endeavour to inform the client in advance when projects will exceed estimated costs. Ultimately, we charge for the hours spent on your project, even if it exceeds the estimate. This includes content gathering, and reminder emails from ourselves in order to move your project along.
While we do not charge for a quick phone call and brief email replies to you, should the time spent on that communication exceed half an hour, we may choose to charge you for this time. Excessive emails and questions may also be charged for as the total amount of time spent responding to these adds up very quickly and can cause delays in our current project timelines.
2. SUPPLY OF BRANDING, IMAGERY AND CONTENT
You must supply all materials and information required by us to complete the work set out in your estimate. Such materials may include, but are not limited to, photographs, written content, logos and other printed material. Where there is any delay in supplying these materials to us which leads to a delay in the completion of work, we have the right to extend any previously agreed deadlines by a reasonable amount.
Where you fail to supply content or required information, and that prevents the progress of the work, we have the right to invoice you for any part or parts of the work already completed. Delays in providing the required information to Redspot may result in delays in project delivery.
You must obtain all necessary permissions and authorities in respect of the use of all copy, graphic images, registered company logos, names and trademarks, or any other material that you supply to us to include in your project.
3. SUBCONTRACTING
From time to time we may need to call on the expertise of another web developer or graphic designer to help us achieve an awesome result for you. We reserve the right to subcontract any of our services as needed. By accepting our proposal/quote and/or engaging in a project with us, you consent to your website, domain or hosting data including login information, being shared with a third party subcontractor.
4. ADDITIONAL EXPENSES
You agree to reimburse us for any requested expenses which do not form part of your original project estimate including but not limited to the purchase of templates, third party software, stock photographs, fonts, domain name registration, web hosting or other similar expenses.
5. DOMAIN NAMES
You agree to take full responsibility for all usage of the domain name, hosting and email services and to fully abide by the terms and conditions set out by the third party for such services. While we automatically renew domain names which are held in the Redspot Ltd account only, it is ultimately your responsibility to ensure that your domain name/s are kept up to date.
Should you manage your own domain name, we accept no responsibility for that domain name if it is not renewed. We always recommend that you set up your domain names to be renewed automatically.
6. WEB HOSTING
Redspot prefers to use their own hosting provider, however you are free to use your own hosting provider if preferred. We will endeavour to assist you in working with your hosting provider however, ultimately the responsibility of this relationship and management of your hosting belongs to you, the client.
If Redspot Ltd manages the hosting of your website we are responsible for every aspect of your technical setup, and will help liaise with the hosting provider for a resolution when there is a server issue. We use professional hosting providers with WordPress optimised plans who will carry out daily backups of your website. Redspot Ltd accepts no responsibility for downtime, delays, breakdowns or data loss caused by internet service providers or hosting companies.
While we manage your website hosting to the best of our ability, you are ultimately responsible for the safety and security of your website. Our web hosting is safe and secure with daily backups, and your website is installed with an SSL (Secure Socket Layer) certificate. Redspot does not accept liability for any damage and/or disruption caused by hacking, malware, spam or any other malicious attack on your website.
When using Redspot hosting, your annual charge includes access to our premium software licences. Should you leave Redspot hosting, you will be responsible for obtaining your own software licences going forward.
Should you decide to use your own website hosting, Redspot accepts no responsibility for a slow loading or slow functioning website, or for any other performance issues that may arise from using the chosen host or from using a non-Wordpress optimised plan. If your new website requires migration or transfer to or within your hosting provider, Redspot accepts no responsibility in any errors which occur from the transfer. Any technical support required from your hosting provided may incur a fee/s which is your responsibility to pay.
7. E-COMMERCE
You are responsible for complying with all relevant laws relating to e-commerce. Redspot Limited accepts no responsibility for any claim, fine, tax, loss or damage arising from your or your clients’ use of the e-commerce store.
8. WEBSITE FUNCTIONALITY
When the WordPress core, theme and plugins are updated we endeavour to ensure that these updates do not negatively effect your website, if your hosting plan is purchased from Redspot. If there has been an issue, once we are notified we will fix this as soon as possible as part of your hosting cost with us. If you host your website with another hosting provider, you will be charged it our usual hourly rate to fix any issues. Ultimately, the responsibility is up to the client to let us know if there is a design or functionality issue caused by this on their website.
If required, we sometimes use WordPress plugins on your website to add any extra functionality that is required. We always fully research these plugins and use best practice on the installation and configuration of them. However, sometimes they can conflict with the existing website and we can’t predict if this will happen. We will fix any issues arising from this as soon as they are known to us.
Should you or a third party choose to install a plugin on your website without Redspot’s knowledge, we accept no responsibility for the installation, configuration or performance of the plugin. We also accept no responsibility for any conflicts that the additional plugin/s may create and it is best practice to let us know beforehand so we can inform you or a third-party of any custom work in the website. Should your website go down or need to be fixed because of this plugin installation, you will be charged at our usual hourly rate. This also applies to any development work without Redspot’s knowledge.
9. PAYMENT GATEWAYS
Accepting funds online always comes with its risks. Any payment gateways that we install on your e-commerce store are at risk of fraudulent behaviour. We urge you to follow the recommended security measures provided by your payment gateway to protect against this. Redspot Ltd takes no responsibility in the loss of funds in this case.
10. SEO
Redspot cannot guarantee any specific position in search engine results for your website. We perform search engine optimisation using the current best practice and cannot guarantee that it will lead to or improve any increase in sales, profits or any other form of improvement for your business or any other purpose.
11. EMAILS
If you require an email mailbox, we will purchase this from your domain name provider and provide you with a username and password to access. From then, it is your responsibility to set up your mailbox within your chosen devices and to seek assistance from an IT professional to ensure it is configured correctly. Redspot encourages you to seek this assistance as setting up your emails on your devices is not our speciality. Redspot takes no responsibility in a misconfigured email system or process, and no responsibility in missing, spam, lost, or undelivered emails – either sending or receiving.
12. CROSS BROWSER COMPATIBILITY
We use current versions of WordPress and we endeavour to ensure that the websites we create are compatible with all modern web browsers being Internet Explorer, Firefox, Chrome and Safari. Redspot cannot guarantee correct functionality with all browser software across different operating systems. If you require the website to comply with other browsers, note that in some cases this just may not be possible and beyond our control to rectify.
13. APPROVAL
While all care is taken to ensure spelling, telephone numbers, email addresses etc are correct, Redspot Ltd does not accept responsibility for incorrect information, either in print or online.
You are solely responsible for the content of the project, therefore we urge you to fully check the content of your project and test the website functionality before giving us your final approval.
14. PERSONAL DATA AND CONFIDENTIALITY
We (and any subcontractors we chose to employ) agree that we will not at any time disclose any of your confidential information to a third party. By accepting our proposal/quote and/or engaging in a project with Redspot Ltd, you consent to Redspot Ltd retaining your personal data and all login iformation until we delete it if not required, or we may retain it indefinitely.
It is your responsibility to ensure that your website and all digital marketing complies with current data protection laws. Redspot Ltd does not take any responsibility in this case.
As a Redspot client, we add your name and email address to our email newsletter database. If you would prefer to opt-out, please let us know and we will remove your information from that database.
15. LOSS OR DAMAGES
Redspot Ltd shall not be liable for any loss or damage which you may suffer which can be attributed to any delay in performance or completion of your project, however that delay arises.
16. INTELLECTUAL PROPERTY
All artwork, printing and website structure remains the property of Redspot Ltd until invoices are paid in full.
Where photos are purchased by Redspot Ltd from a third party for the use for either print or web it is the responsibility of the client to alert us when the license falls due/expires and they are responsible for renewing this license and all fees associated with this renewal whether past or future. We take no responsibility for renewal of these images once they have expired.
Redspot reserves the right to display and link to your completed project as part of our portfolio and to write about the project on our website or in our digital marketing for promotional purposes.
17. PAYMENT TERMS
A 25% deposit is required on all quotation acceptances for non-account holders. Progress payments are required monthly on projects exceeding one month or more. Redspot Ltd reserves the rights to confirm pricing upon receipt of completed artwork.
